ARTICLE 1 - DEFINITIONS

The term "Terms and Conditions” or “T&C” refers to the present document.

The term "Customer" refers to the person ordering Products / Services offered for sale on the Site.

These may refer to :

  • A consumer ;
  • A professional customer.

The Customer declares that he/she/they has the capacity required to contract and acquire the Products and Services.

The Customer is advised that certain Products / Services may be reserved for a single category of Customer (consumer or professional).

"THE ANALOG CLUB" refers to the simplified joint stock company with a share capital of €4,124, registered with the RCS of Paris under number B 902 965 565 and whose registered office is located at 172 rue Legendre - 75017 Paris.

The term "the Parties" refers to THE ANALOG CLUB Paris and the Customer.

The term "Products" refers to the products offered for sale on the Site, listed in article 3-1.

The term "Services" refers to the services offered for sale on the Site, listed in article 3-2.

The term "Site" refers to the site available at https://www.theanalogclub.co/. 


ARTICLE 2 - SCOPE OF APPLICATION

The Terms and Conditions apply, without restriction or reservation, to all orders for Products / Services placed by the Customer on the Site.

Their purpose is to define the rights and obligations of the Parties in the context of the online sale of Products / Services.

Together with the online order, the Terms and Conditions constitute the only contractual documents binding on the Parties in this context, to the exclusion of all other documents (in particular the conditions applicable to in-store sales or through other distribution and marketing channels).

Applicable version: The Terms and Conditions are available here and shall prevail, where applicable, over any other version or any other contradictory document. 
The T&C are subject to change at any time, effective as soon as they are posted online. We therefore recommend that you check them regularly.
The version applicable to the Customer's purchase is the one shown on the Site and accepted on the date the order is placed.

Acceptance: The customer is obliged to read these terms and conditions before placing an order. The customer declares that he/she has read these terms and conditions and accepts them by checking the appropriate box before placing an order. 


ARTICLE 3 - PRODUCTS AND SERVICES

3.1. Products
3.1.1. FEATUREs

THE ANALOG CLUB offers several types of Products for sale, including:

  • Photograph - prints:
    • Limited edition photographic prints, signed and numbered (30 prints maximum), for large formats (over 20x30 cm). These prints are accompanied by a certificate of authenticity signed by the photographer.
    • Smaller prints (under 20x30cm), unsigned and with a variable numbering (indicated on the product page). These prints are accompanied by a certificate of authenticity.

These products are often offered with framing (see product description).

By purchasing a print, the Customer is informed that he/she obtains no right of reproduction or representation of the photographic print in question, the copyright remaining the property of the artist-photographer. Therefore, any use of a photograph (e.g. distribution, exhibition, reproduction, etc.) without the prior agreement of all rights holders is forbidden.

The Customer's rights to the Products purchased are therefore limited to a right of private use, excluding any right of representation or reproduction.

  • Second-hand film cameras, cleaned and overhauled by independent repairers/craftsmen 
  • Some “analog boxes” containing :
    • A second-hand film camera, cleaned and serviced by independent repairers/craftsmen 
    • Films compatible with the camera,
    • An introduction to analog photography (a leaflet)
    • An accessory as indicated on the product page: a lanyard or a case (we only include a lanyard if the device in question is designed to receive one).
    • A battery (or batteries) to match the device

For more information on the Products marketed on the Site and their essential characteristics (in particular their price), the Customer is invited to read the description part of each Product. The Products are described and presented as accurately as possible. However, THE ANALOG CLUB cannot be held liable for any errors or omissions in this presentation.

Illustrations or photographs of Products are for guidance only and have no contractual value.

3.1.2. AVAILABILITY - INVENTORIES

Unless otherwise indicated, Product offers are valid for as long as they are visible on the Site.

In the event of unavailability of the Product(s) ordered, the Customer will be informed as soon as possible and will have the option of cancelling the order. They will then have the choice of requesting either a refund of the sums paid within 30 days of their payment, or an exchange of the Product. Apart from the potential refund of the price of the unavailable Product, THE ANALOG CLUB will not be liable for any cancellation indemnity. 

3.2. SERVICES

THE ANALOG CLUB also offers a free online tour of some of its exhibitions through a 3D virtual gallery (launch imminent).

For more information on the Services marketed on the Site and their essential characteristics, the Customer is invited to read the description part of each Service. The Services are described and presented as accurately as possible. However, THE ANALOG CLUB cannot be held liable for any errors or omissions in this presentation.

Illustrations or photographs of the Services are for information purposes only and have no contractual value.

ARTICLE 4 - TERRITORIES

Products may :

  • be delivered in France and abroad, in the countries listed when the order is placed. This option is not available for the purchase of Products whose condition does not allow delivery (e.g. Products that are too fragile);
  • be picked up (Paris only). This may be the only option when a Product cannot be delivered.

The Customer may access the Services from anywhere in the world, subject to restrictions inherent to certain countries and beyond THE ANALOG CLUB's control.

ARTICLE 5 - ORDER PROCESS - CONCLUSION OF THE CONTRACT

5.1. ORDERS

The Customer must refer to the description of each Product / Service in order to know its essential properties and particularities.

To order a Product / Service on the Site, the Customer must :

  • Select on the Site the Product(s) / Service(s) he wishes to purchase;
  • Create an account or, if already registered on the Site, enter your login details - This step is optional for the purchase of Products.

To create an account, the Customer provides the information requested. The Customer undertakes to provide accurate, up-to-date and complete information and to maintain its accuracy. The Customer undertakes not to create an account under a false identity. The Customer undertakes to keep his/her connection information secret. If the Customer notices or suspects that his/her account is being used fraudulently or that a third party has access to his/her login information, the Customer agrees to immediately inform THE ANALOG CLUB and/or generate a new password by clicking on the link provided for this purpose (any action carried out from the Customer's account will be deemed to have been carried out by the Customer).

  • If necessary, provide the information required to validate the order.

A summary of the order is presented to the Customer, who can modify it, then accept the T&C and finalize the order by proceeding to payment.

Once the order has been validated, THE ANALOG CLUB sends the Customer a confirmation email.

Telecommunication costs remain at the customer's expense.

THE ANALOG CLUB reserves the right to cancel or refuse any order for legitimate reasons, in particular, if necessary, in the case of orders in abnormally high quantities.

In certain cases, notably non-payment, incorrect address or any other problem with the Customer's account, THE ANALOG CLUB reserves the right to block the Customer's order until the problem is resolved. If the problem is not resolved, the order for this Product will be cancelled and reimbursed, if necessary, while the rest of the order remains firm and definitive.

5.2. CONTRACT

A sale is considered final only after THE ANALOG CLUB has sent the Customer confirmation of acceptance of the order by e-mail and THE ANALOG CLUB has received payment.

5.3. RIGHT OF WITHDRAWAL/RETURN

The provisions relating to the right of withdrawal only apply to consumer customers.

5.3.1. CANCELLATION AND RETURN POLICY

You have the right to withdraw from this contract without giving any reason within fourteen days.

The withdrawal period expires :

For Product orders: 14 days after the day on which you, or any third party other than the carrier and designated by you, takes physical possession of the Product (or of the last Product if you ordered them in the same order and they are delivered separately).

To exercise the right of withdrawal, you must notify us of your decision to withdraw from this contract by means of an unambiguous statement (e.g. letter sent by post or e-mail) to the contact details provided in Article 1 (Email: contact@theanalogclub.co).

You can use the model withdrawal form (article 5.3.4), but this is not compulsory.

In order for the withdrawal period to be respected, it is sufficient for you to send your communication concerning the exercise of the right of withdrawal before the expiration of the withdrawal period.

In accordance with article L221-28 of the French Consumer Code, the right of withdrawal cannot be exercised for contracts :

  • The supply of services fully performed before the end of the withdrawal period and, if the contract imposes an obligation on the consumer to pay, the execution of which has begun with his prior and express agreement and with his acknowledgement of the loss of his right of withdrawal, when the service has been fully performed by the trader. 
  • Supply of goods made to the consumer's specifications or clearly personalized
  • The supply of a digital content without a physical medium, the performance of which has begun before the end of the withdrawal period and, if the contract imposes an obligation on the consumer to pay, where : 
    • He/she has previously given his/her express consent for performance of the contract to begin before the expiration of the withdrawal period (which you do by accepting the T&C);
    • He has acknowledged that he will lose his right of withdrawal (which you do by accepting the T&C);
    •  The professional has provided confirmation of the consumer's agreement.
5.3.2. EFFECTS OF WITHDRAWAL

In the event of your withdrawal from this contract, we will reimburse all payments received from you, including delivery costs paid by you when purchasing the product (with the exception of additional costs arising from the fact that you have chosen, where applicable, a delivery method other than the less expensive standard delivery method offered by us) without undue delay and, in any event, no later than fourteen days from the day on which we are informed of your decision to withdraw from this contract. In any event, this refund will not incur any costs for you. 

For Products: We may defer reimbursement until we have received the Product or until you have provided proof of shipment of the Product, whichever comes first.

You must return the Product without undue delay and, in any event, no later than fourteen days after you have informed us of your decision to withdraw from this contract. This deadline is deemed to have been met if you return the Product before the fourteen-day period has expired. We draw your attention to the fact that the Product must be returned in conditions that ensure its integrity. For this reason, we strongly recommend that you return it in its original packaging and using the same delivery method.

You shall bear the direct cost of returning the Product. 

You are only liable for the depreciation of the Product resulting from handling other than that necessary to establish the nature, characteristics and proper functioning of the Product.

5.3.3. PARTIAL WIDTHDRAWAL

If you have purchased an analog box, THE ANALOG CLUB offers you the possibility, in accordance with the terms and conditions set out above, of returning only the analog camera and keeping the other items that make up the box, in which case you will receive a partial refund. In this case, THE ANALOG CLUB informs you that the return of the camera will result in the reimbursement of the total price paid for the box, less 70 euros if you decide to keep the box, the explanatory booklet, the strap (if any) and the film.

5.3.4. WITHDRAWAL / RETURN FORM

Please complete and return this form only if you wish to withdraw from the contract.

5.3.5. SUMMARY - HOW TO EXERCISE YOUR RIGHT OF WITHDRAWAL/ RETURN FOR A PRODUCT 

To exercise your right of withdrawal / return for a product:

  • You must notify us of your decision to withdraw from this contract by means of an unambiguous statement (by letter sent by post or e-mail to the following address) contact@theanalogclub.co) within 14 days of the day on which you, or a third party other than the carrier and designated by you, takes physical possession of the Product (or the last Product if you ordered them as part of the same order and they are delivered separately).
  • You must return the Product, at your own expense, without undue delay and, in any event, no later than fourteen days after you have informed us of your decision to withdraw from this contract. This deadline is deemed to have been met if you return the Product before the fourteen-day period has expired. We draw your attention to the fact that the Product must be returned in conditions that ensure its integrity. For this reason, we strongly recommend that you return it in its original packaging and using the same delivery method.

ARTICLE 6 - FINANCIAL TERMS AND CONDITIONS

6.1. PRICE

The price of Products / Services is specified on their respective description section on the Site. THE ANALOG CLUB reserves the right to modify prices at any time, while guaranteeing the Customer the application of the price in effect on the date of the order, subject to availability on that date.

Prices are expressed in euros (€) and, where applicable, inclusive of all taxes (including VAT in effect in France on the day the order is placed), excluding delivery and transport costs, invoiced in addition and indicated before the order is validated and depending on when the order is placed and the delivery date chosen. 

If delivery takes place outside the European Union, the Customer may be considered as an "importer". This means in particular that :

  • French VAT may not apply to the order,
  • Depending on the price of the order, the customer may have to pay local taxes (such as VAT), customs duties and service charges invoiced by the carrier. These additional costs are the sole responsibility of the customer.

Customers are strongly advised to check with their local authorities regarding the purchase of foreign products.

Where applicable, in accordance with the provisions of the French Commercial Code, business customers are reminded that the prices offered include any discounts and rebates that THE ANALOG CLUB may grant in view of its results or the assumption by the customer of certain services. No discount will be granted for early payment.

6.2. TERMS OF PAYMENT

In principle, payment of the full price must be made at the time of ordering by credit card (Visa, MasterCard, American Express). In certain cases, payment by instalments may be offered; to check whether this is possible, the Customer should contact THE ANALOG CLUB beforehand.

The Customer guarantees THE ANALOG CLUB that he has the necessary authorizations to use this method of payment.

Payments made by the Customer will not be considered final until THE ANALOG CLUB has received the sums due. In case of refusal by the bank, the order will be automatically cancelled.

Where applicable, in accordance with the provisions of the French Commercial Code, professional customers are reminded that in the event of total or partial non-payment of goods delivered on the due date, the buyer must pay THE ANALOG CLUB a late payment penalty equal to three times the legal interest rate. The legal interest rate is the one applicable on the day of delivery of the goods. This penalty is calculated on the amount due, inclusive of tax, and runs from the due date of the price, without the need for prior formal notice. In addition to late payment penalties, any sum, including the deposit, not paid by the due date will automatically give rise to the payment of a flat-rate penalty of 40 euros to cover collection costs.

ARTICLE 7 - PRODUCT DELIVERY

7.1. TERMS OF DELIVERY

Delivery means the transfer to the Customer of physical possession or control of the Product. Delivery times depend on the availability of the Products, of the delivery service chosen and the country of delivery (delivery outside the European Union may extend delivery times, in particular due to customs formalities for which THE ANALOG CLUB is not responsible).

The Customer can collect the Product by pickup (only possible in Paris) or have it delivered to the address of his choice, in particular to a "point relais" (except for certain fragile products which can only be collected by pickup).

Deliveries will be made by La Poste or by one or more delivery companies chosen by THE ANALOG CLUB. Possible delivery services will vary according to the characteristics of the Product (in particular its weight, size or fragility), as well as the delivery address provided by the Customer.

Any package returned to THE ANALOG CLUB because of an incorrect or incomplete delivery address will be reshipped at the Customer's expense. 

The delivery times announced when the order is placed begin to run as of the validation of the order by THE ANALOG CLUB. Compliance with delivery times is the responsibility of the carrier. The Customer may not claim compensation from THE ANALOG CLUB in the event of carrier failure.

In the event of failure to meet the agreed delivery date or deadline for any reason other than force majeure or the fault of the Customer, the latter may :

  • Notify THE ANALOG CLUB of the suspension of payment of all or part of the price until it complies;
  • Rescind the contract if, after having put THE ANALOG CLUB on notice to make the delivery within a reasonable additional period, the latter has not complied within this period (the contract will be considered as rescinded upon receipt by THE ANALOG CLUB of a new letter informing it of this rescission, unless the company has complied in the meantime);
  • Immediately terminate the contract if (i) THE ANALOG CLUB refuses to deliver the goods, or it is obvious that it will not do so or (ii) the date or time of delivery constitutes for the Customer an essential condition of the contract resulting from the circumstances surrounding the conclusion of the contract or from an express request by the Customer prior to the conclusion of the contract.

In the event of termination of the contract, THE ANALOG CLUB will reimburse all sums paid by the Customer within 14 days of the termination of the contract.

In any case, THE ANALOG CLUB cannot be held responsible for the consequences of a delay in delivery that is not its fault or due to force majeure.

7.2. DAMAGED DELIVERY - ERRORS

In the event of a defect in the Product or its packaging, the Customer may express reservations and write to us at the following address: contact@theanalogclub.co

7.3. TRANSFER OF OWNERSHIP - TRANSFER OF RISK

The transfer of ownership of the Products will only take place once the price has been paid in full and the Products have been taken into possession. 

The risk of loss or damage to the Products is transferred to the Customer at the time the Customer or a third party designated by the Customer takes physical possession of the Products. 

ARTICLE 8 - PRODUCT WARRANTIES

Products are guaranteed according to the terms indicated in the product description on the www.theanalogclub.co website.

The Product warranty gives the consumer the right to repair or replace the good within thirty days of his request, without repair costs and without major inconvenience for him.

In the event of a defective product, the consumer, in order to have access to a refund, repair or exchange, must complete and send us the form presented in article 5.3.4 of this contract to the postal address indicated in article 5.3.5 or to the following address: contact@theanalogclub.co. 

You will need to provide us with a detailed description of the problem encountered, with proof, if possible, of images that enable us to identify the problem. 

After we have studied the case, we may offer you a repair (free of charge if the Product is still within its warranty period), a refund or an exchange if a similar device or box exists.

If you have purchased a box, THE ANALOG CLUB offers you the possibility of returning only the analog camera and keeping the other components of the box. If the camera is not repairable and the consumer requests a refund but wishes to keep the other items, THE ANALOG CLUB informs you that the return of the camera will result in a refund of the price paid less a fee of 70 euros if you decide to keep the box, the explanatory booklet, the strap (if any) and the film. 

If the device is not repairable and is still within the warranty period, THE ANALOG CLUB may offer the consumer, if available, another device with a similar price. THE ANALOG CLUB may also propose alternatives with a different value by including in the proposal financial compensation for the difference. 

Return shipping costs will be borne by the consumer unless the return is made within 30 days of the order date. 
 If the good is repaired under the warranty, the consumer benefits from an extension of the same duration as the initial warranty.


 The consumer may obtain a reduction in the purchase price by keeping the goods, or terminate the contract by obtaining a full refund against return of the goods, if :

  1. The professional refuses to repair or replace the good;
  2. The goods are repaired or replaced after a thirty days period ;
  3. The repair or replacement of the good causes a major inconvenience for the consumer, in particular when the consumer definitively bears the cost of taking back or removing the non-conforming good, or if he bears the cost of installing the repaired or replacement good;
  4. The non-conformity of the Product persists despite the seller's unsuccessful attempt to bring it into conformity.


 The consumer is also entitled to a reduction in the price of the goods, or to terminate the contract, if the lack of conformity is so serious as to justify immediate price reduction or the termination of the contract. In such cases, the consumer is not obliged to request repair or replacement of the goods beforehand. The consumer is not entitled to terminate the contract if the lack of conformity is minor.

 Any period of immobilization of the good for the purpose of repair or replacement suspends the remaining warranty period until delivery of the repaired good.   

The warranty for defective products is subject to full payment by the consumer.

Malfunctions caused by misuse of the product or by an external cause do not give rise to a warranty. The provisions of the present article shall not deprive the consumer of the legal warranty described in article L 211-4 to 14 of the French Consumer Code.

ARTICLE 9 - RESPONSABILITY

THE ANALOG CLUB shall not be held liable in the event of misuse, use for professional purposes, negligence or lack of maintenance on the part of the Customer, or in the event of normal wear and tear of the Product, accident or force majeure.

Any circumstances beyond the control of the Parties preventing the performance of their obligations under normal conditions shall be considered as grounds for exoneration from the Parties' obligations and shall result in their suspension.

The Party which invokes the circumstances referred to above must immediately notify the other Party of their occurrence, as well as of their disappearance.

“Force majeure" means any irresistible, unforeseeable, unavoidable event or circumstance beyond the control of the Parties, which the Parties are unable to prevent, despite all reasonable efforts. The following are expressly considered as cases of force majeure or fortuitous events, in addition to those usually accepted by the case law of French courts and tribunals: blockage of means of transport or supplies, earthquakes, fires, storms, floods, lightning, stoppage of telecommunication networks or difficulties specific to telecommunication networks external to customers, pandemics.

The Parties will meet to examine the impact of the event and agree on the conditions under which performance of the contract will continue. If the force majeure event lasts for more than three months, the present T&C may be terminated by the aggrieved Party.

Concerning the educational content platform, in the event of a security incident, threat or situation of vulnerability, THE ANALOG CLUB will take the necessary measures to limit the possible impact on the Customer.

ARTICLE 10 - DISPUTES

10.1. CLAIMS

In the event of a problem with one of your orders, the Customer may contact THE ANALOG CLUB using the contact information provided in Article 1.

10.2. MEDIATION

In the event of a complaint that has not been amicably resolved, the Customer may submit the dispute relating to the order or to these T&C between him and THE ANALOG CLUB to the Consumer Mediator at the following address:

The Parties to the contract remain free to accept or refuse recourse to mediation and, in the event of recourse to mediation, to accept or refuse the solution proposed by the mediator. 

10.3. APPLICABLE LAW AND JURISDISCTION

Any dispute relating to the application of these T&C shall be governed by French law and brought before the courts of the Paris Court of Appeal, unless otherwise provided by public policy.

ARTICLE 11 - OTHERS

11.1. PERSONAL DATA

For further information on the processing of personal data, the Customer may refer to the Privacy Policy on the Site.

11.2. NO WAIVER

Any tolerance or waiver by one of the Parties, in the application of all or part of the commitments provided for in the T&C, whatever the frequency or duration, shall not be deemed to constitute a modification of the T&C, nor to generate any right whatsoever.

11.3. PARTIAL NULLITY

If any provision of these is or becomes ineffective in whole or in part, such ineffective provision shall be void (without affecting the validity and enforceability of the remaining provisions) and reinterpreted, supplemented or replaced so as to achieve the purpose intended by the ineffective provision.
